Welcome to Simplr. These Terms and Conditions (“Terms”) govern your access to and use of the website located at https://www.simplr.net (the “Website”) and, where applicable, the software solutions, applications, and related services (collectively, the “Services”) provided by Simplr Solutions Pte Ltd (“Simplr”, “we”, “us”, or “our”).

By accessing or using the Website or Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use the Website or Services.

1. Definitions

For the purposes of these Terms: “Customer” means any individual, company, or legal entity that has entered into an agreement with Simplr for the provision of Services; “User” or “you” means any individual accessing or using the Website or Services; “Agreement” means any separate written contract, order form, statement of work, or subscription agreement executed between Simplr and a Customer; and “Content” means all text, graphics, images, logos, software, and other materials available on the Website or through the Services.

2. Use of the Website

The Website is provided for general informational and business purposes. You agree to use the Website only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use of the Website by, any third party. You must not attempt to gain unauthorised access to the Website, its servers, or any connected database, nor introduce any viruses, malware, or other harmful material.

3. Products and Services

Simplr provides supply chain and distribution management software solutions, including but not limited to Field Sales Automation, Distributor Management, Warehouse Management, Last-Mile Delivery, Multi-Channel Order Management, Merchandising, and related AI-powered capabilities. Detailed terms applicable to the subscription, implementation, and use of specific solutions are set out in the applicable Agreement between Simplr and the Customer. In the event of any conflict between these Terms and an executed Agreement, the terms of the executed Agreement shall prevail.

4. Customer Support

Simplr provides support through phone, email, and remote access during normal office working hours. Normal office working hours are from 9:30 AM to 6:00 PM, Monday to Friday, excluding Public Holidays.

Support requests received outside of normal office working hours will be addressed on the next business day. For support-related queries, please contact support@simplr.net. Any extended, priority, or out-of-hours support arrangements, if applicable, shall be as set out in the relevant Agreement or service-level arrangement between Simplr and the Customer.

5. Accounts and Access

Where access to any Service requires an account, you are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify Simplr immediately of any unauthorised use of your account. Simplr reserves the right to suspend or terminate access where we reasonably believe an account has been compromised or is being misused.

6. Intellectual Property

All intellectual property rights in the Website, the Services, and all Content — including software, source code, design, logos, trademarks, documentation, and materials — are and shall remain the exclusive property of Simplr or its licensors. Nothing in these Terms grants you any right, title, or interest in such intellectual property, except for the limited right to access and use the Website and Services in accordance with these Terms and any applicable Agreement. You may not copy, modify, reproduce, distribute, reverse engineer, or create derivative works from any part of the Website or Services without Simplr’s prior written consent.

7. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the use of the Website or Services, and to use such information solely for the purposes for which it was disclosed. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

8. Data Protection and Privacy

Simplr collects, uses, and discloses personal data in accordance with our Privacy Policy and applicable data protection laws, including the Personal Data Protection Act 2012 (PDPA) of Singapore. By using the Website or Services, you consent to such collection, use, and disclosure as described in the Privacy Policy.

9. Third-Party Links and Services

The Website or Services may contain links to third-party websites, integrations, or services that are not owned or controlled by Simplr. Simplr has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. Access to any third-party service is at your own risk and may be subject to separate terms.

10. Disclaimer of Warranties

The Website and its Content are provided on an “as is” and “as available” basis. While Simplr endeavours to ensure that the information on the Website is accurate and up to date, we make no warranties or representations, express or implied, as to the accuracy, completeness, reliability, or suitability of the Website or its Content for any particular purpose. Warranties applicable to subscribed Services, if any, are set out exclusively in the applicable Agreement.

11. Limitation of Liability

To the maximum extent permitted by law, Simplr shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, revenue, data, or business opportunities — arising out of or in connection with your use of, or inability to use, the Website or Services. Simplr’s total aggregate liability arising out of or relating to these Terms shall not exceed the amount paid by the Customer to Simplr under the applicable Agreement in the twelve (12) months preceding the event giving rise to the claim, or SGD 100 in the case of use of the Website without a paid Agreement.

12. Indemnity

You agree to indemnify and hold harmless Simplr, its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your breach of these Terms or your misuse of the Website or Services.

13. Suspension and Termination

Simplr reserves the right to suspend or terminate your access to the Website or Services, without prior notice, if you breach these Terms, misuse the Services, or where required by law. Termination of access shall not affect any accrued rights or obligations of either party under any executed Agreement.

14. Force Majeure

Simplr shall not be liable for any delay or failure to perform its obligations where such delay or failure results from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, epidemics, war, terrorism, civil unrest, labour disputes, governmental actions, power failures, or failures of telecommunications or internet infrastructure.

15. Amendments to These Terms

Simplr may revise these Terms from time to time. The updated version will be posted on this page with a revised “Last Updated” date. Your continued use of the Website or Services after any changes constitutes acceptance of the revised Terms. We encourage you to review this page periodically.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
